1. Introduction
These Terms of Use (“Terms”) govern your access to and use of the digital services operated by Urban Living Solutions Co., Ltd., trading as Commune Work (“Commune Work”, “we”, “us” or “our”).
Our digital services include:
the Commune Work website;
the Commune Work member portal;
the Spacebring platform used by Commune Work;
online membership and booking features;
online payment features;
member communications and community features;
applications, pages and digital tools operated on our behalf; and
any related online service through which Commune Work provides information or accepts enquiries, bookings or payments.
Together, these are referred to in these Terms as the “Service”.
These Terms apply to members, prospective members, day-pass users, visitors, guests, event participants and any other person accessing or using the Service (“you” or “User”).
By accessing or using the Service, creating an account, submitting a booking or completing a purchase, you confirm that you have read and agree to these Terms.
Our Privacy Policy also applies to your use of the Service and explains how we collect, use, store and disclose personal information.
2. Relationship With Other Agreements
These Terms govern the use of Commune Work’s digital Service.
Your physical access to and use of Commune Work’s coworking premises, workspaces, private offices, meeting rooms, event spaces and other facilities may also be governed by:
a Membership Agreement;
a Private Office Rental Agreement;
booking-specific terms;
event-space terms;
Commune Work’s House Rules;
safety and security procedures;
visitor and guest rules; and
other written terms communicated to you before or at the time of purchase.
Where there is a conflict:
a specifically negotiated and signed agreement will take priority;
booking-specific terms will apply to the relevant booking;
the House Rules will govern conduct within the premises; and
these Terms will govern use of the digital Service.

4. Eligibility
You must be at least 18 years old and legally capable of entering into a binding agreement to create an account, purchase a membership or complete a booking through the Service.
A person under 18 may use the premises or attend an activity only where appropriately authorized or accompanied by a parent, legal guardian, school, employer or other responsible organization, and subject to Commune Work’s approval.
Where you use the Service on behalf of a company, organization or another person, you confirm that:
you are authorized to act on their behalf;
the information you provide is accurate;
they agree to the applicable terms; and
they will be responsible for the obligations arising from the booking, membership or purchase.
5. Accounts
Certain features of the Service may require you to create an account through Spacebring or another membership platform.
When creating or using an account, you agree to:
provide accurate, complete and current information;
keep your account information updated;
use your own identity and contact details;
maintain the confidentiality of your password and login credentials;
prevent unauthorized access to your account;
notify us promptly if you suspect unauthorized use; and
accept responsibility for activity carried out through your account where caused by your acts or failure to protect your credentials.
You must not:
create an account using another person’s identity without authorization;
provide false or misleading information;
share an individual account with unauthorized users;
allow another person to use a personal membership or booking unless expressly permitted;
attempt to access another user’s account; or
create multiple accounts to avoid restrictions, charges or enforcement measures.
We may ask you to verify your identity before activating, changing or restoring an account.
All members except day-pass users may be required to provide a valid passport, Cambodian national identity card or another government-issued identification document in accordance with our Privacy Policy and membership procedures.
6. Enquiries and Availability
Information displayed through the Service concerning memberships, offices, desks, meeting rooms, events or other products is subject to availability.
Submitting an enquiry does not create a reservation or contract.
A booking or membership is confirmed only when:
Commune Work issues a written confirmation;
any required agreement has been accepted or signed;
any required identification has been provided;
the required payment or deposit has been received; and
any other stated conditions have been satisfied.
We may decline an enquiry or booking where:
the requested product is unavailable;
information provided is incomplete or inaccurate;
the intended use is unlawful, unsafe or inconsistent with Commune Work’s activities;
required payment is not received;
fraud or unauthorized activity is suspected;
the booking would create an unreasonable operational or security risk; or
another legitimate business reason prevents us from accepting it.
We will not refuse service on a basis prohibited by applicable Cambodian law.
7. Memberships, Passes and Bookings
The Service may allow you to purchase or request:
day passes;
flex-desk memberships;
fixed-desk memberships;
private office memberships or rentals;
meeting-room bookings;
event-space bookings;
event tickets;
virtual-office or business-support services;
additional products and services; and
other workspace arrangements offered by Commune Work.
The specific inclusions, exclusions, prices, duration and conditions of each product will be stated:
on the relevant product page;
in the booking confirmation;
in the applicable membership or rental agreement; or
in another written offer issued by Commune Work.
You are responsible for reviewing these details before completing a purchase.
A membership, day pass or booking may not be transferred, resold or shared unless Commune Work gives prior written approval.
8. Plans and Recurring Memberships
Some memberships are billed for a fixed or recurring period.
The applicable billing period may be:
daily;
weekly;
monthly;
quarterly;
six-monthly;
annually; or
another period stated in the relevant agreement or offer.
The terms governing renewal, cancellation and notice periods will be shown before purchase or included in the applicable Membership Agreement or Private Office Rental Agreement.
A membership will not automatically renew unless automatic renewal is clearly disclosed and agreed to when the membership is purchased or in the applicable signed agreement.
Where automatic renewal applies:
the membership will renew for the period stated in the relevant agreement;
the applicable fee may be charged to the authorized payment method;
you must cancel within the stated notice period to prevent renewal; and
Commune Work will give notice of material changes where required by the agreement or applicable law.
Stopping use of the workspace or deleting the digital application does not automatically cancel an active membership.
Cancellation must be completed using the cancellation method stated in the applicable agreement, which may include written notice to Commune Work or cancellation through the member portal.
9. Prices, Taxes and Currency
Prices will be displayed or communicated before purchase.
Unless otherwise stated:
prices are expressed in United States dollars;
Cambodian riel may be accepted at the exchange rate applied by Commune Work or the relevant payment provider;
prices are subject to applicable Cambodian taxes;
bank, card, currency-conversion or payment-provider fees may be charged separately by the relevant provider; and
you are responsible for checking the final amount before confirming payment.
Where a displayed price contains a clear technical or administrative error, we may correct the error before accepting the purchase.
Where payment has already been taken for a product affected by a clear pricing error, we will contact you and either:
honor the corrected transaction with your agreement; or
cancel the transaction and refund the amount received.
10. Payments
Payments may be made using the payment methods offered at the time of purchase, which may include:
ABA PayWay;
bank transfer;
payment card;
QR payment;
cash payment at the premises; or
other approved payment methods.
By submitting a payment, you confirm that:
you are authorized to use the selected payment method;
the payment and billing information is accurate;
sufficient funds or credit are available; and
you authorize the relevant charges for the selected product or service.
Payment-card and banking credentials may be processed directly by ABA PayWay, a bank or another payment service provider. Commune Work does not normally receive or store full card numbers, security codes or online-banking passwords.
A payment is not complete until it has been successfully received and confirmed.
If a payment fails, is reversed, is disputed or remains outstanding, we may:
request another payment method;
suspend access to the relevant service;
withhold confirmation of a booking;
restrict or suspend an account;
recover reasonable outstanding amounts; or
take another action permitted under the applicable agreement and Cambodian law.
11. Invoices and Billing Information
You are responsible for providing complete and accurate billing information.
Requests to change an invoice should be submitted promptly and may be subject to applicable Cambodian accounting and taxation requirements.
Where a company pays for a membership or booking, the company may receive relevant billing and account information relating to the service purchased on its behalf.
12. Fee Changes
We may change the prices of memberships, passes, bookings, and additional services.
A new price will apply:
immediately to new purchases;
at the beginning of a new membership or renewal period; or
at another time permitted by the applicable agreement.
A price increase will not normally change a fully paid and confirmed fixed-term purchase during its existing term.
For recurring memberships, we will provide reasonable notice of a material price increase before the new price becomes effective. You may exercise any cancellation right available under your applicable agreement before the increase takes effect.
13. Cancellations, Credits and Refunds
Cancellation, credit and refund rights depend on the type of product purchased.
The applicable cancellation policy will be stated in:
the relevant product description;
the booking confirmation;
the Membership Agreement;
the Private Office Rental Agreement;
the event or meeting-room booking terms; or
other written offers.
Unless otherwise stated:
a confirmed day pass is non-refundable after it has been used;
unused day passes may be rescheduled or refunded only in accordance with the applicable booking terms;
meeting-room and event-space bookings may be subject to cancellation charges;
membership fees for an active billing period are not refundable merely because the member did not use the space;
deposits are handled in accordance with the relevant agreement;
third-party payment or bank charges may be non-refundable; and
approved refunds will normally be made to the original payment method.
Nothing in these Terms excludes a refund or remedy that must be provided under applicable Cambodian law.
Where Commune Work cancels a paid booking and cannot provide a reasonable alternative, we will normally offer:
a replacement date;
a service credit; or
a refund of the amount paid for the cancelled service.
Commune Work is not required to refund amounts relating to a suspension or termination caused by serious misconduct, fraud, unlawful activity or a material breach of an applicable agreement, except where required by law or expressly stated in the relevant agreement.
14. Communications
By creating an account, submitting a booking or purchasing a membership, you agree to receive communications that are necessary to administer the service, including:
booking confirmations;
payment and invoice notices;
membership information;
renewal and expiry notices;
operational announcements;
safety and security communications;
account notifications;
changes affecting the premises or Service; and
responses to support requests.
Operational communications are not marketing communications and may be sent while you have an active account, booking or contractual relationship with us.
We may send newsletters, promotions, event announcements and other marketing communications where you have chosen to receive them or where otherwise permitted by applicable law.
You may unsubscribe from marketing communications at any time. Unsubscribing from marketing will not prevent necessary operational or contractual communications.
15. Use of the Digital Service
You may use the Service only for lawful purposes and in accordance with these Terms.
You must not use the Service to:
violate Cambodian law or any other applicable law;
commit, facilitate or promote fraud or another unlawful activity;
impersonate Commune Work, a member of staff, another user or another person;
submit false, misleading or fraudulent information;
gain or attempt to gain unauthorized access to an account, server, system or database;
interfere with the proper operation or security of the Service;
introduce malware, viruses or harmful code;
collect other users’ personal information without authorization;
send spam, unsolicited advertising or mass communications;
harass, threaten, abuse or discriminate against another person;
infringe intellectual-property, privacy, confidentiality or other legal rights;
publish unlawful, defamatory, obscene or seriously offensive material;
make fraudulent bookings or payments;
manipulate reviews, ratings or feedback;
scrape, copy or extract data using automated means without permission;
test or circumvent security features without written authorization; or
use the Service in a manner that creates an unreasonable operational, legal or security risk.
16. Community Content
Certain parts of the Service may allow members to post messages, profiles, comments, photographs, files, event information or other material (“Member Content”).
You remain responsible for Member Content that you submit.
By submitting Member Content, you confirm that:
you created it or have permission to use it;
it is accurate where presented as factual;
it does not violate another person’s rights;
it does not disclose confidential information without permission;
it is not unlawful, threatening, defamatory, discriminatory or obscene; and
it complies with these Terms and Commune Work’s community standards.
You retain ownership of your Member Content.
You grant Commune Work a non-exclusive, worldwide, royalty-free license to host, store, reproduce and display the Member Content only to the extent reasonably necessary to:
operate the Service;
display the content to the intended users;
administer the member community;
promote an event or activity where you have agreed to such use; or
meet legal, security or record-keeping requirements.
This license ends when the content is deleted, except where copies must reasonably be retained in backups, records or legal files.
We may remove or restrict Member Content that:
breaches these Terms;
may violate applicable law;
infringes another person’s rights;
creates a security or safety concern;
is unrelated to the intended purpose of the community feature;
constitutes spam or repeated solicitation; or
seriously disrupts the Commune Work community.
17. Photographs and Promotional Content
Posting an image through the Service does not automatically give Commune Work an unrestricted right to use it for advertising.
Commune Work will obtain appropriate permission before using identifiable photographs or videos of members for external promotional or advertising purposes, except where:
the image is incidental to a wider event or public-space photograph;
consent has already been provided;
the material was submitted specifically for publication; or
another lawful basis applies.
Members must obtain permission before posting photographs, videos or personal information concerning other identifiable individuals.
18. Intellectual Property
The Service and its original content, design, branding, graphics, text, logos, software structure and functionality are owned by or licensed to Urban Living Solutions Co., Ltd.
They may be protected under Cambodian and international intellectual-property laws.
You may access and use the Service for personal or internal business purposes connected with Commune Work’s services.
You may not, without prior written permission:
reproduce or republish substantial parts of the Service;
use Commune Work’s name, logo or branding to imply sponsorship or endorsement;
sell or commercially exploit content from the Service;
remove copyright, trademark or ownership notices;
modify or create derivative works from protected material; or
use the Service’s content in a misleading or unlawful manner.
Nothing in these Terms transfers ownership of Commune Work’s intellectual property to you.
19. Feedback
You may send us comments, ideas, suggestions, or feedback concerning the Service.
You grant Commune Work permission to consider and use general feedback to improve its services without payment or an obligation to implement it.
This does not transfer ownership of:
your confidential business information;
your independently created intellectual property;
protected personal information; or
material that you clearly identify as confidential before disclosure and that we agree to receive on that basis.
20. Third-Party Services
The Service may use or link to third-party services, including:
Spacebring;
ABA PayWay;
QuickBooks;
Google Analytics;
banks and payment providers;
website hosting providers;
maps, social networks and messaging services; and
other technology or business service providers.
Third-party services are governed by their own terms and privacy policies.
Commune Work does not control third-party platforms and is not responsible for their independent acts, content or availability.
However, this does not exclude responsibility that Commune Work cannot lawfully exclude where the third-party acts as our service provider.
21. Availability and Changes to the Service
We aim to keep the Service reasonably available but do not guarantee uninterrupted access.
The Service may be unavailable because of:
maintenance;
software updates;
internet or electricity interruption;
third-party platform failure;
cybersecurity incidents;
equipment failure;
force majeure events; or
other circumstances outside our reasonable control.
We may modify, suspend or discontinue a digital feature where reasonably necessary for operational, security, legal or commercial reasons.
Where a material change affects an active paid service, we will take reasonable steps to notify affected users and, where appropriate, provide an alternative.
22. Accuracy of Information
We seek to ensure that information displayed through the Service is accurate and current.
However:
photographs may be illustrative;
layouts, furniture and amenities may change;
availability may change before a booking is confirmed;
temporary outages or maintenance may affect facilities; and
minor errors may occur.
You should rely on the final written booking confirmation or signed agreement for the specific terms of your purchase.
Nothing in this section permits misleading representations or excludes obligations imposed by applicable Cambodian consumer-protection law.
23. Suspension and Termination
We may restrict, suspend or terminate an account or access to the Service where reasonably necessary because:
you materially breach these Terms or another applicable agreement;
payment remains overdue;
information provided is materially false or misleading;
fraud, unlawful activity or unauthorized access is suspected;
your conduct creates a safety or security risk;
you seriously or repeatedly breach the House Rules;
your use disrupts other members or Commune Work’s operations;
suspension is required by law or a competent authority; or
continued provision of the Service is no longer reasonably possible.
Except in urgent or serious cases, we will normally provide notice and a reasonable opportunity to address the issue.
Immediate suspension or termination may occur where there is:
violence or a credible threat of violence;
theft or intentional property damage;
serious harassment or discrimination;
fraudulent payment activity;
deliberate cybersecurity interference;
unauthorized access to restricted premises or systems;
serious illegal conduct; or
an immediate risk to people, property or operations.
Suspension or termination of the digital account does not automatically end payment or contractual obligations under an active Membership Agreement or Private Office Rental Agreement.
You may stop using the Service at any time. Ending an account does not itself cancel an active membership, booking or outstanding payment obligation.
24. Disclaimer
The Service is provided with reasonable care but may be subject to technical limitations, maintenance and third-party dependencies.
To the maximum extent permitted by applicable law, we do not guarantee that:
the Service will always be available or uninterrupted;
every digital feature will operate without error;
every defect will be corrected immediately;
third-party platforms will remain available;
information supplied by other users is accurate; or
the Service will meet every individual business requirement.
Nothing in these Terms excludes any guarantee, obligation or remedy that cannot lawfully be excluded under Cambodian law.
25. Limitation of Liability
Nothing in these Terms excludes or limits liability for:
fraud or fraudulent misrepresentation;
wilful misconduct;
death or personal injury caused by negligence where liability cannot lawfully be excluded;
breach of a mandatory consumer-protection obligation;
misuse of personal information in breach of applicable law; or
another liability that cannot lawfully be excluded or limited.
Subject to the above, Commune Work will not be responsible for indirect or consequential losses that were not reasonably foreseeable at the time the relevant agreement was made, including:
loss of profit;
loss of revenue;
loss of business opportunity;
loss of anticipated savings;
loss of goodwill; or
business interruption.
Commune Work is not responsible for loss caused primarily by:
a user’s failure to secure their account;
inaccurate information supplied by the user;
unauthorized account sharing;
the acts of another member or independent third party;
a failure of a third-party service outside Commune Work’s reasonable control;
the loss or theft of an unattended personal item, except where caused by Commune Work’s proven fault;
interruption caused by force majeure; or
a user’s breach of these Terms or another applicable agreement.
Where Commune Work is legally liable in connection with a specific paid digital booking or service, its total contractual liability will, to the extent permitted by Cambodian law, be limited to the amount paid for the affected service during the period giving rise to the claim.
This limitation does not apply where it would be unfair, unreasonable or prohibited under applicable law.
26. Indemnity for User Misconduct
To the extent permitted by Cambodian law, you will be responsible for reasonable losses, costs or claims suffered by Commune Work as a direct result of:
your fraudulent or unlawful use of the Service;
your intentional infringement of another person’s rights;
malicious interference with the Service;
Member Content you did not have the right to publish; or
your material breach of these Terms.
This section does not make you responsible for losses caused by Commune Work’s own negligence, breach or unlawful conduct.
27. Force Majeure
Commune Work will not be responsible for delay or failure caused by circumstances beyond its reasonable control, including:
flood, storm, fire or other natural disaster;
epidemic or public-health emergency;
war, civil disturbance or terrorism;
government restrictions or orders;
prolonged power, water or internet interruption;
failure of telecommunications infrastructure;
labour disruption not limited to Commune Work;
cyberattack despite reasonable security measures; or
another comparable event outside our reasonable control.
Where such an event materially affects a paid service, we will take reasonable steps to reduce disruption and communicate with affected users.
Any entitlement to rescheduling, service credits or refunds will be determined under the relevant booking or membership agreement and applicable law.
28. Complaints and Dispute Resolution
Questions or complaints should first be submitted to Commune Work using the contact details below.
Please provide:
your name;
relevant account or booking details;
a description of the issue;
supporting documents, where applicable; and
the resolution requested.
We will seek to acknowledge and address complaints within a reasonable period.
The parties should first attempt to resolve a dispute through good-faith discussion.
Where a dispute cannot be resolved informally, either party may use any mediation, negotiation, court or other dispute-resolution process available under Cambodian law.
Nothing in these Terms prevents a consumer from contacting a competent Cambodian consumer-protection authority or exercising a legal right available under applicable law.
29. Governing Law and Jurisdiction
These Terms and any dispute arising from the Service are governed by the laws of the Kingdom of Cambodia.
Subject to any mandatory consumer right or agreed dispute-resolution process, the courts of the Kingdom of Cambodia will have jurisdiction.
Where an official Khmer-language version and an English translation differ, the version designated as controlling in the applicable signed agreement will apply, subject to Cambodian law.
30. Changes to These Terms
We may update these Terms to reflect:
changes to the Service;
new products or functionality;
operational or security requirements;
changes to applicable law; or
improvements to clarity and administration.
The updated Terms will be posted through the Service and the “Last updated” date will be revised.
Material changes will not normally apply retroactively to a completed purchase or signed fixed-term agreement unless:
required by law;
necessary for safety or security;
agreed by the parties; or
permitted under the applicable agreement.
Where a material change affects an active account or recurring digital service, we will provide reasonable notice.
Continued use after the effective date of an update constitutes acceptance only where the revised Terms have been made reasonably available and the change may lawfully apply.
31. Waiver
If Commune Work does not immediately enforce a provision of these Terms, this does not mean that it permanently gives up the right to enforce that provision.
A waiver is effective only where clearly communicated by an authorized representative.
32. Severability
If a provision of these Terms is held to be invalid, unlawful or unenforceable, it will be limited or removed only to the minimum extent necessary.
The remaining provisions will continue in effect.
33. Assignment
You may not transfer an account, booking or rights under these Terms without Commune Work’s prior written consent.
Commune Work may transfer its rights and obligations as part of a genuine restructuring, sale, merger or transfer of the business, provided that this does not materially reduce the protections or services owed to an active consumer.
34. Entire Agreement
These Terms, together with the Privacy Policy and any applicable booking terms or signed agreement, constitute the agreement governing your use of the relevant Service.
They replace earlier representations concerning the same subject, except for:
fraudulent representations;
expressly agreed written commitments; and
rights that cannot lawfully be excluded.
